商戶／活動主註冊合約（中文＋英文） 一、商戶資格與驗證 中文 商戶（活動主／廣告主）須具備合法經營資格，提供真實營運與聯絡資訊。 付費活動需完成平台驗證，經審核通過方可上架。 不得使用多個帳號重複上架相同或近似活動，避免干擾平台資訊秩序。 商戶應自行負責稅務申報、發票開立與相關稅務義務。 English Merchants (organizers/advertisers) must be legally qualified and provide true business and contact information. Paid events require verification and approval before publication. Duplicate or similar listings across multiple accounts are prohibited to maintain platform integrity. Merchants are solely responsible for tax reporting, invoicing, and compliance with tax regulations. 二、活動內容規範 中文 活動名稱、封面、說明須真實完整，不得遺漏必要資訊或使用測試、未完成內容。 禁止違法內容：非法傳銷、賭博、色情、暴力、未滿 18 歲限制內容未設適當規範。 活動說明需字數充足、資訊明確，不得引導使用者至外部平台註冊或私下收款。 不得使用未經授權之圖片、影片、文字，避免侵權爭議。 English Event titles, banners, and descriptions must be true and complete; no missing info or test/unfinished content. Prohibited content includes illegal MLM, gambling, pornography, violence, and adult material without proper age restrictions. Descriptions must be sufficiently detailed and may not direct users to external platforms or collect off-platform payments. Unauthorized images, videos, or text that infringe third‑party rights are forbidden. 三、售票與收款規則 中文 付費活動須透過平台官方機制收款，禁止現場額外收費、私下轉帳、外部收款。 票券名稱、說明不得包含違規內容，不得標示「無效」「僅供宣傳」等誤導文字。 售票開始後，已訂購之票種名稱、說明、退票規則、活動刪除等原則上不得修改。 商戶同意平台收費機制與付款條款，依約支付費用。 English Paid events must use official platform payment processing. On‑site extra charges, off‑platform transfers, and private collection are prohibited. Ticket names and descriptions may not include prohibited content or misleading labels such as “invalid” or “for promotional use only.” After sales start, ticket details, refund rules, and event deletion may not be modified without approval. Merchants agree to our pricing and payment terms and shall pay fees as agreed. 四、廣告與推廣條款 中文 商戶投放廣告須遵守平台廣告規範，內容需合法、真實、不誤導。 平台有權決定廣告尺寸、位置、投放時機與排序，不保證點擊率與成效。 平台不對點擊欺詐、第三方不當行為承擔責任。 平台得使用廣告內容進行行銷宣傳，並有權拒絕或移除任何不合規廣告。 English Advertisements must comply with our advertising guidelines; they must be lawful, truthful, and non‑misleading. We reserve the right to determine ad size, placement, timing, and ordering; we do not guarantee clicks or performance. We are not liable for click fraud or improper third‑party conduct. We may use ad content for marketing and reserve the right to reject or remove non‑compliant ads. 五、責任與免責 中文 商戶對活動合法性、真實性、安全性負全部責任，若致平台損害應負賠償責任。 平台就服務以「現況」提供，不提供明示或默示擔保（不含適銷性、特定目的適用性）。 平台不負責間接損失、利潤損失、特殊損害賠償。 爭議適用平台所在地法律（如香港法），並由當地法院管轄。 English Merchants are fully liable for the lawfulness, truthfulness, and safety of events. You shall indemnify us for losses arising from your violations. The platform is provided “as is” without express or implied warranties (including merchantability and fitness for a particular purpose). We are not liable for indirect, lost‑profit, or special damages. Disputes are governed by the laws of the platform’s jurisdiction (e.g., Hong Kong) and submitted to its courts. 私隱政策連結 / Privacy Policy reference 中文 本平台設有獨立《私隱政策》，說明我們如何收集、使用、儲存、披露及保留你的個人資料。你於使用本平台前，應細閱《私隱政策》；如你不同意《私隱政策》的任何內容，請停止使用本平台服務。 English This platform maintains a separate Privacy Policy describing how we collect, use, store, disclose, and retain personal data. You should review the Privacy Policy before using the platform, and if you do not agree with any part of it, you should stop using the Services. You may disable some cookies through your browser settings, but the platform is not responsible if certain features or login functions become unavailable as a result. 內容刪除與帳戶終止 / Content removal and termination 中文 如會員或商戶違反本條款、發布違法或有害內容、造成安全風險、投訴、欺詐懷疑、或本平台合理認為有需要保護平台、用戶或第三方權益時，本平台可在不另行通知下刪除內容、限制功能、暫停或終止帳戶。帳戶終止後，本平台可按法律、稅務、保安或營運需要保留部分資料一段合理期間。 English If a member or merchant breaches these Terms, posts unlawful or harmful content, creates a security risk, triggers complaints, is suspected of fraud, or if the platform reasonably considers action necessary to protect the platform, users, or third-party rights, the platform may remove content, restrict features, suspend, or terminate the account without prior notice. After termination, the platform may retain certain data for a reasonable period as required for legal, tax, security, or operational purposes. 付款、退款及手續費 / Payment, refund, and fees 中文 如涉及付費活動、商品、會員費或服務費，商戶同意提供準確的價格、稅項、付款方式及退款安排。除非另有書面說明，所有手續費、平台服務費、支付處理費及稅項均由商戶或付款人承擔。退款、取消、改期及爭議處理須按平台公布之政策及相關付款服務供應商的規則執行；平台可從應付商戶款項中扣除已產生之費用、退款或退款手續費。 English Where paid events, products, membership fees, or service charges apply, the merchant agrees to provide accurate pricing, taxes, payment methods, and refund arrangements. Unless otherwise stated in writing, all service fees, platform fees, payment processing fees, and taxes shall be borne by the merchant or payer. Refunds, cancellations, rescheduling, and dispute handling shall follow the platform’s published policies and the applicable payment service provider’s rules; the platform may deduct any incurred fees, refunds, or refund processing charges from amounts otherwise payable to the merchant. 智慧財產權 / Intellectual property 中文 平台內之商標、標誌、介面設計、文字、圖片、程式碼及其他內容之知識產權，均屬本平台或其授權人所有，未經書面同意不得複製、修改、分發、展示或作商業用途。會員及商戶提交之內容仍屬其原有權利人所有，但其同意授予本平台一項非專屬、全球性、免版稅、可再授權之許可，用以營運、展示、推廣及改良服務。 English All intellectual property rights in the platform’s trademarks, logos, interface design, text, images, code, and other materials are owned by the platform or its licensors and may not be copied, modified, distributed, displayed, or used commercially without prior written consent. Content submitted by members and merchants remains owned by the original rights holder, but they grant the platform a non-exclusive, worldwide, royalty-free, sublicensable license to operate, display, promote, and improve the Services. 責任限制與免責聲明 / Limitation of liability and disclaimer 中文 本平台按「現狀」及「可用」基礎提供，不就服務不中斷、無錯誤、無病毒、完全安全或符合特定用途作任何明示或默示保證。於法律許可的最大範圍內，本平台對任何間接、附帶、特別、懲罰性或相應損失概不負責，包括利潤損失、商譽損失、資料損失或業務中斷。平台僅對因其故意失責或法律不可免除之責任承擔責任。 English The platform is provided on an “as is” and “as available” basis, without warranties of uninterrupted service, error-free operation, absence of viruses, complete security, or fitness for a particular purpose.
